THE NEW MALAYSIAN CODE ON CORPORATE GOVERNANCE – UNPACKING IT FOR APPLICATION

Corporate Governance in Malaysia has been evolving since the inception of the first Code in March 2000, thanks to the everchanging global business landscape. With the release of the new Malaysian Code on Corporate Governance on 26 April 2017 by the Securities Commission of Malaysia for immediate application, it is imperative for those charged with governance to understand the key changes in this Code and how they impact the Board of Directors, Board Committees, Company Secretaries, Management, Auditors and Stakeholders. This Code is not only mandatory for listed companies—state-owned enterprises, small and medium enterprises as well as licensed intermediaries are strongly encouraged to embrace this Code. Some new terminologies in the Code include “Large Companies”, “Large Shareholders”, “2-Tier Voting”, “Step-up exemplary Practices”, “Alternative Practices”, “apply or explain an alternative” and “internalization”.

The Comprehend, Apply and Report (“CARE”) approach adopted by this Code encourages companies to identify the thought processes involved in practising good corporate governance, including providing fair and meaningful explanation of how the company has applied the Practices. This session is aimed at familiarising participants with the 3 Principles, 12 Intended Outcomes, 36 Practices (including the 4 Step-up exemplary Practices) and 32 Guidance and how to unpack them for practical application, especially on some “tricky” Practices, including disclosures in annual report. Listed companies with financial year ending on or after 31 December 2017 are required to disclose the application of this new Code in their annual reports. To embed a better understanding of the new Code, live examples of commendable practices in boardrooms as well as some “horror” stories will be shared.
